1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of all products and services offered by Code Accelerator Private Limited ("Code Accelerator," "we," "us," or "our"), including: 

• The CA Asset Marketplace at marketplace.thecodeaccelerator.com ("Marketplace")

• The main website at thecodeaccelerator.com

• All professional services including HubSpot implementation, CMS/module development, RevOps consulting, marketing automation, website builds, and white-label services ("Services")

By accessing our websites, purchasing a product, or engaging our services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our products or services.

2. About Us

Code Accelerator Private Limited is a HubSpot Solutions Partner agency incorporated in India, specialising in HubSpot CRM implementation, CMS development, RevOps consulting, and digital marketing services. Our registered office is in Jaipur, Rajasthan, India. 

3. Marketplace Terms

3.1 Products

The Marketplace offers digital products including HubSpot modules, themes, templates, and related assets ("Products"). All Products are delivered electronically upon purchase. 

3.2 License Grant

Upon purchasing a Product, Code Accelerator grants you a non-exclusive, non-transferable, worldwide license to install and use the Product on the number of HubSpot portals specified at the time of purchase (typically one portal per license unless otherwise stated). This license is for your own use or your clients' use (for agencies purchasing on behalf of clients). 

3.3 Restrictions

You may not: 

• Resell, redistribute, sublicense, or share any Product outside your licensed portals.

• Claim ownership of or remove any copyright or attribution notices from any Product.

• Use any Product to build a competing marketplace or product catalog.

• Reverse engineer, decompile, or extract the source code of any Product beyond what is naturally accessible through HubSpot's platform.

3.4 Product Descriptions & Compatibility

We make every effort to ensure Product descriptions, previews, and compatibility notes are accurate. However, Products are built for HubSpot CMS and require a valid HubSpot portal and the appropriate subscription tier as stated in the listing. We are not responsible for issues arising from using a Product on an unsupported portal tier or in an environment not specified in the listing. 

3.5 Updates

We may release updates or patches for Products from time to time. Purchased licenses include access to updates for the version purchased. We do not guarantee indefinite updates or compatibility with future HubSpot platform changes, though we make reasonable efforts to maintain compatibility. 

3.6 Free Products

Products listed as free are provided "as is" without warranty, guarantee, or dedicated support. Use of free Products is entirely at your own risk. 

4. Services Terms

4.1 Scope of Work

All service engagements are governed by a mutually agreed Scope of Work (SOW) or service proposal. The SOW defines deliverables, timelines, payment terms, and any specific conditions. In the event of a conflict between these Terms and a signed SOW, the SOW takes precedence. 

4.2 Client Responsibilities

You agree to: 

• Provide timely access, approvals, content, and feedback required for project completion.

• Ensure all materials provided to Code Accelerator (content, images, data, branding) are owned by you or properly licensed for use.

• Designate a primary point of contact for communication during the engagement.

Delays caused by a failure to meet client responsibilities may result in revised timelines and additional charges, which will be communicated in advance. 

4.3 Revisions

Revision rounds included in a project are specified in the SOW. Requests outside the agreed revision scope will be treated as change requests and may be quoted separately. 

4.4 Third-Party Services

Some services may involve third-party tools, platforms, or services (e.g., HubSpot, Webflow, WordPress, Zapier). Code Accelerator is not responsible for changes, outages, pricing changes, or policy updates by third-party platforms that affect project delivery or outcomes. 

4.5 Confidentiality

Both parties agree to keep confidential any proprietary information, business data, or materials shared during the engagement. This obligation survives the termination of the engagement for a period of 2 years.

4.6 Ownership & Intellectual Property

Upon receipt of full payment, all custom deliverables created exclusively for you become your property. Code Accelerator retains the right to use general methodologies, frameworks, code patterns, and non-client-specific components developed during the engagement in future projects. 

Any pre-existing intellectual property of Code Accelerator (including Marketplace Products, internal tools, frameworks, and templates) remains the exclusive property of Code Accelerator regardless of its use in your project.

4.7 Portfolio & Attribution

Unless you request otherwise in writing, Code Accelerator reserves the right to reference your project in our portfolio, case studies, and marketing materials, without disclosing confidential business information. 

5. Payment Terms

• All prices are in USD unless otherwise agreed in writing.

• Payment terms are as specified in the invoice or SOW (typically 50% upfront, 50% upon delivery for project-based work).

• Invoices are due within the payment period stated. Overdue invoices may attract a late fee of 1.5% per month on the outstanding balance.

• We reserve the right to pause or suspend work on any engagement where payment is overdue.

6. Warranties & Disclaimers

6.1 Marketplace Products

All Products are provided "as is" to the extent permitted by law. We warrant that Products will materially function as described in their listing at the time of purchase. We do not warrant that Products will be error-free, uninterrupted, or compatible with all future HubSpot platform updates. 

6.2 Services

We warrant that Services will be performed with reasonable skill, care, and professionalism in line with industry standards. We do not guarantee specific business outcomes (e.g., lead generation results, traffic growth, or conversion rates) resulting from our work. 

6.3 General Disclaimer

To the fullest extent permitted by applicable law, Code Accelerator disclaims all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. 

7. Limitation of Liability

To the maximum extent permitted by law, Code Accelerator's total liability to you for any claim arising from the use of our Products or Services shall not exceed the amount paid by you for the specific Product or Service giving rise to the claim in the 12 months preceding the claim. 

Code Accelerator shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, even if we have been advised of the possibility of such damages. 

8. Indemnification

You agree to indemnify and hold harmless Code Accelerator, its directors, employees, and partners from any claims, liabilities, damages, or expenses (including legal fees) arising from your use of our Products or Services, your violation of these Terms, or your infringement of any third-party rights. 

9. Governing Law & Dispute Resolution

These Terms are governed by the laws of India. Any disputes arising from these Terms or your use of our Products or Services shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Jaipur, Rajasthan, India. 

For international clients, we are open to resolving disputes through mutually agreed online arbitration where applicable. 

10. Termination

Code Accelerator reserves the right to suspend or terminate your access to the Marketplace or any ongoing service engagement if you: 

• Violate any provision of these Terms

• Engage in fraudulent, abusive, or illegal activity

• Fail to make payment as agreed

Upon termination, your license to use purchased Products may be revoked and access to your Marketplace account may be suspended. 

11. Privacy

Your use of our websites and services is also governed by our Privacy Policy, available at thecodeaccelerator.com/privacy-policy. By using our Products or Services, you consent to the data practices described therein. 

12. Changes to These Terms

We reserve the right to update these Terms at any time. Changes will be posted with a revised "Last Updated" date. Continued use of our Products or Services after changes are posted constitutes acceptance of the updated Terms. For active service engagements, material changes will be communicated directly.
